These Terms of Service ("Terms") govern the professional services provided by Tiny Robots LLC ("Tiny Robots", "we", "us"), a Delaware limited liability company with its registered address at 131 Continental Drive, Suite 305, Newark, DE 19713, United States. By engaging us or accepting a proposal, you ("Client", "you") agree to these Terms.
1. Services
Tiny Robots provides software product consulting services, including product strategy and discovery, full-stack product design and development, MVP builds, AI and machine-learning integration, performance and infrastructure work, and ongoing product operations. The specific scope, deliverables, timeline, and fees for each engagement are set out in a written proposal or statement of work agreed with you before work begins.
2. Proposals and fees
All fees are quoted and invoiced in United States dollars (USD) and exclude any applicable taxes, which are your responsibility where they apply. No work starts, and nothing is charged, until you have approved a written proposal. Unless the proposal says otherwise, invoices are payable within 14 days of issue.
3. Payment
Invoices can be paid by credit or debit card (Visa, Mastercard, American Express) processed securely by Stripe, or by bank transfer. Card payments are handled entirely by Stripe over encrypted connections; we never see or store your card details. Late payments may result in suspension of work until the account is brought current.
4. Client responsibilities
You agree to provide timely access to the people, materials, accounts, and decisions reasonably needed to deliver the engagement, and you confirm that any materials you supply do not infringe the rights of any third party.
5. Intellectual property
On payment in full, all deliverables created specifically for you under an engagement are assigned to you. We retain ownership of our pre-existing tools, libraries, and know-how; where these are included in a deliverable, you receive a perpetual, non-exclusive license to use them as part of that deliverable.
6. Confidentiality
Each party will keep the other's non-public business and technical information confidential and use it only for the purposes of the engagement.
7. Cancellations and refunds
Cancellation terms and refund conditions are set out in ourRefund & Cancellation Policy, which forms part of these Terms.
8. Warranties and liability
We perform all services with reasonable skill and care. Except as expressly stated, services are provided without other warranties. To the maximum extent permitted by law, our total aggregate liability arising out of an engagement is limited to the fees paid for that engagement, and neither party is liable for indirect or consequential loss.
9. Legal and export restrictions
Our services are not subject to specific legal or export restrictions. We do not provide services to persons or entities where doing so would violate United States sanctions or export-control laws.
10. Governing law
These Terms are governed by the laws of the State of Delaware, United States, and the parties submit to the exclusive jurisdiction of the courts of Delaware.
